ROCHESTER, NY—Eastman Kodak has completed a transaction for the sale and licensing of its digital imaging patents for net proceeds of $527 million. The transaction, which achieves one of Kodak’s key restructuring objectives, follows other recent developments that included final court approval last week for the company’s interim and exit financing.
The completion of the sale transaction enables Kodak to repay a substantial amount of its initial DIP loan, satisfy a key condition for its newly approved financing facility, and position its core Commercial Imaging business for future growth and success.
What is striking about the round of installations this year over last, we are hearing about far fewer installation problems and challenges with substrates. We are hearing more about the costs and need to expand post-processing capabilities rather than installation or performance of the presses themselves. Business cases are still strong but, unlike the earliest adopters, those needs were not as acute, so they had the luxury of hanging back and biding their time until that time was right.

Kodak will receive approximately $525 million, a portion of which will be paid by a group of 12 intellectual property licensees organized by Intellectual Ventures and RPX Corp. Each licensee will receive rights with respect to the digital imaging patent portfolio and certain other Kodak patents.
